Over the past years, European regulation has become increasingly important in the company law and securities law of the member states of the European Union. European regulation has moved from a set of preconditions to the systems of national law, to a source of law with ever growing relevance. This second edition of the collection European Regulation of Company and Securities Law aims at bringing together the important directives and other regulations on European company and securities law. This volume includes company and security law directives, but also draft regulations such as the proposed Fifth Directive of 1972 and other important documents such as the Report of the High Level Group of Company Law Experts (the Winter Report) and the EU Corporate Governance Action Plan. In securities law it contains framework directives such as the Market Abuse Directive, as well as the Lamfalussy implementing directives and ancillary regulations. In comparison to the previous edition of this volume, the recitals of the European Parliament and the Council of the European Union with respect to the directives and other regulations included in this volume have been added to the texts. «
